Musk’s SpaceX and Tesla Merger Plan Puts 30,000-Plus Bitcoin in Focus

SpaceX and Tesla are examining the possibility of merging their businesses, with independent director committees reviewing the proposal. The discussions come as strong financial results lift SpaceX shares ahead of Tesla’s earnings announcement.

Elon Musk, who leads both companies and owns substantial stakes in each, revealed on Tuesday that the two firms are exploring a potential deal. If completed, the merger would combine two of his largest business ventures and bring their Bitcoin reserves under one corporate structure, totaling 30,221 BTC.

A June filing shows Musk holds approximately 36% of SpaceX directly. His ownership rises to 48.4% when restricted shares and unexercised options are included. Meanwhile, his reported beneficial ownership in Tesla, the electric vehicle manufacturer, is 19.8%, including restricted compensation shares.

During SpaceX’s third-quarter earnings call, Musk said both companies had appointed special committees of independent directors to assess the proposed merger. SpaceX reportedly holds 18,712 BTC, while Tesla owns 11,509 BTC. Combining these reserves would create a Bitcoin treasury of 30,221 BTC.

Musk voiced support for the potential transaction but noted that shareholder approval would be necessary for the deal to proceed.

He also explained that his financial interests in both companies prevent him from participating in the committees’ deliberations. As a result, the independent directors are conducting their discussions without his direct involvement.

Musk characterized the process as an unusual arrangement involving two separate groups negotiating independently. He added that the committees had not yet reached an agreement on the terms of a possible merger.
