Crypto-Friendly SEC Commissioner Hester Peirce to Depart Next Week

Hester Peirce, a longtime SEC commissioner who has consistently pushed for clearer cryptocurrency regulations, will leave the U.S. Securities and Exchange Commission on Oct. 2.

Peirce confirmed the date in a resignation letter posted Friday on X. Her announcement came as the SEC released fresh crypto-related material addressing questions around digital asset classifications and how projects can market their tokens.

Known as “Crypto Mom” within parts of the digital asset industry, Peirce spent years calling for a more defined regulatory framework. Her tenure spanned the leadership of former SEC chairs Jay Clayton and Gary Gensler, whose administrations pursued extensive enforcement actions against participants in the crypto sector.

Peirce gained a more central role in shaping policy after Donald Trump returned to the White House. She was appointed to lead the SEC’s Crypto Task Force last year, beginning that work before Paul Atkins took over as chairman.

Her policy work has covered a broad range of crypto-related subjects, including mining, staking and memecoins. She also worked on efforts to distinguish different types of digital assets and clarify which U.S. regulator should oversee them.

The SEC has increasingly turned toward formal rulemaking. Its proposed Regulation Crypto Assets framework was designed to provide a path for offering certain crypto assets without automatically subjecting them to the strictest securities requirements.

Tokenized securities have also emerged as an important area of agency policy. Through its “innovation exemption,” the SEC established a five-year framework intended to allow experimentation with tokenization while providing information that could eventually contribute to permanent rules.

In her resignation letter, Peirce wrote about the importance of allowing individuals to choose what works for themselves and their families while maintaining regulatory safeguards that provide confidence when people transact.

After leaving the SEC, Peirce is set to become an associate professor at Regent University School of Law.

Peirce addressed the “Crypto Mom” nickname in a 2019 speech during a period when the SEC was taking a more restrictive approach to digital assets. She argued that the agency was limiting innovation and growth and criticized its reliance on enforcement cases, staff guidance and no-action letters as its main forms of direction for the industry.

Her departure will leave the SEC with two commissioners, Chairman Paul Atkins and Republican appointee Mark Uyeda. The agency can continue operating with two commissioners, as its rules allow that number to constitute a quorum when seats are vacant.

The Trump administration has not announced Democratic nominees for open seats at the SEC or the Commodity Futures Trading Commission. It remains unclear whether the vacancies will be filled following Peirce’s departure.

SEC Updates Crypto Guidance

The SEC also issued a new FAQ Friday covering questions about digital asset classifications and the role played by project managers in determining how tokens are treated.

The guidance considers when activities such as token promotion, software changes and other project-related decisions could amount to “essential managerial efforts.”

It also addresses “staking receipt tokens” and situations in which secondary-market activity could potentially cause an entity to be classified as a “promoter” of an investment contract.

The latest document comes as the SEC continues to develop its approach to cryptocurrency and establish clearer boundaries for how digital assets fit within U.S. securities regulation.
